TENDER ANNOUNCEMENT
For the Detailed Design & Construction Works
Date: 27th February 2020
1. The Central Bank of the Republic of Azerbaijan invites prospective bidders for the Detailed Design (including construction permit planning) and Construction Works Tender of “The New Headquarters of Central Bank of the Republic of Azerbaijan" (hereinafter referred to as “The Project”) located at Nizami district, Heydar Aliyev avenue 109, Baku.
Brief of Bidding
- Bid Title: The New Headquarters of Central Bank of the Republic of Azerbaijan
- Contract Duration: approx. 36 months from the effective (contract) date

• Type: New construction
• Project Summary:
- Site Area: 33,200 m2
- Total GFA: 67,926 m2
- Height of the Building: Approx.160 m
- Below ground comprising of cash center, technical plant and parking. The building providing office space along with conference and training facilities, a library and a restaurant including external landscape
- Construction Duration: Approx. 36 months from the effective (contract) date including the Design Phase
- Location: Nizami district, Heydar Aliyev avenue 109, Baku
- Employer: The Central Bank of the Republic of Azerbaijan
- Bid Type: Competitive Bidding through RFP procedure
The following documents demonstrating eligibility of the Bidders to participate in RFP procedure shall be submitted via e-mail until March 6, 2020, 17:00;
1. Application for Particaption in the RFP Procedure (Form of Application comprises Attachment 1 of this Tender Announcement)
2. Confidentiality Undertaking (Attachment 2 to this Tender Announcement)
3. Power of Attorney duly ink signed and stamped and for foreign bidders also notarized and apostilled or legalized, confirming powers of the person signing the Confidentiality Undertaking and Application for Participation
4. Reference from applicant’s bank attesting the applicant’s financial position during the last year,
The RFP Documents shall only be issued to the .applicants/bidders who has completed turnkey tower construction over 150 meters as the main contractor without joint venture. Consortium or Joint Venture is not allowed for the participation in this RFP Procedure.
Note: If the above documents and information contained therein is found to be correct, suitable and sufficient for the purposes of the establishment of the applicants’ eligibility to participate, they will be considered to be the RFP Participants and RFP Documentation with the request to present their bid will be issued to them.
The documents specified above shall not be deemed to comprise the documents or presenting information for the purposes of qualification of the applicants/bidders and represent the Application documents only for the establishment of their eligibility to participate in the RFP procedure. Information regarding the qualification of the applicants/bidders follows below.
- Qualification of Bidders
After the RFP Documentation is issued to the prospective Bidders, they shall be requested to submit to the CBA the following “Qualification of Bidder Documents” not later than April 3, 2020 12:00 with 1 hard copy and 1 soft copy in closed envelope:
- The Company corporate and registration documents (Notarized English Translation is required from International Bidders)
- A relevant construction license (International Bidders should present duly notarized and apostilled or legalized license from the authorities in the country of incorporation and operation. An international bidder shall be obliged to obtain the relevant local license in case the contract is awarded to it until the Commencement Date as described in the Conditions of Contract),
- Power of Attorney and/or a corporate document verifying the authorized person to sign all qualification and Bidding related documents duly ink signed and stamped and for foreign bidders also notarized and apostilled or legalized,
- Certificate (reference) from the relevant tax authority on the absence of any past due commitments of the participant on taxes and other compulsory payments in the Republic of Azerbaijan, as well as failure to comply with the Tax Code of the Republic of Azerbaijan for the last one year (excluding the suspension period) (For the Bidders established and/or operating in the Republic of Azerbaijan),
- Bidder’s statement about non-insolvency, non-custody of property, non-pledge of property and other obligations, non-suspension of commercial activity by the court decision,
- Statement on the absence of criminal record during the last 5 (five) years in respect of themselves, their executives and employees in connection with their professional activities or misrepresentation of their professional qualifications for the purposes of achieving an award of a contract,
- Statement showing that neither they nor their executives and employees have been barred during the last 5 (five) years by a court decision from engaging in their professional activities ;
Only proposals from the bidders/RFP participants found to be in compliance with the above qualification criteria, which will in more depth described in the RFP Document shall be considered to be a qualified bidder and only proposals from such bidders shall be taken for evaluation by the CBA. Therefore, bidders are requested to carefully assess whether they meet the qualification criteria and those which do not qualify on any one criterion are requested not to submit any proposal.
Note: CBA will inform non-qualifying bidders by “10“April 2020 on their failure to qualify to the requisite qualification criteria with the indication of reasons, which will mean that their bid, if submitted will not be taken for evaluation.
- Selection of the Successful Bidders:
- Tender Evaluation will be done through Scoring Evaluation by Tender Commission.
- Scoring Evaluation is based on:
Technical - Sixty (60) Points,
Price - Forty (40) Points,
Total of One hundred (100) points.
- On basis of the evaluation of the Bids, the CBA may invite shortlisted Bidders to negotiations. The negotiations may cover the entire scope of the proposal including the commercial, technical and legal terms. The Shortlisted Bidders will be requested to update their proposals based on the outcome of the negotiations.
- No bid will be allowed and accepted from a bidder incorporated or has center of management or place of business or a property in or business relations with a country which is an enemy to or of the Republic of Azerbaijan, or has a member of personnel originating from or related in any way to such a country.
- Selection of the Successful Bidder shall be done in accordance with the Public Procurement Legislation of the Republic of Azerbaijan.
- The RFP Document (RFPD):
The Bidders whom the Invitation to Bid has been issued by the CBA may collect the RFPD at the latest March 17, 2019 in electronic format through FTP server.
- Instructions and Schedule:
- Tender Announcement: February 27, 2020 by E-mail and/or website
- Application for Participation in the RFP Procedure (including Eligibility Documents): at the latest March 6, 2020, 17:00.
- Invitation to Bid by the CBA: March 11, 2020 via E-mail.
- The last date for the Collecting RFP Documents by the Bidders received Invitation to Bid: at the latest March 17, 2020.
- Submission of the Qualification Documents of Bidder: at the latest April 3, 2020, 12:00 at the Central Bank of Azerbaijan Republic
- Issuance of non-qualification notes: April 10, 2020 via E-mail.
- Bid Closing (the last date for the Submission of bids): May 4, 2020, 12:00 at the Central Bank of Azerbaijan Republic
- Contract Award: June 1, 2020
- Currency of Financial Proposal (Bid Price): Euro (For International Bidders) and AZN (For Local Bidders)
- Currency of Contract: Euro (for foreign companies) / AZN (for local companies). (to be decided during the negotiation process of Contract Conditions based on the international/local company.)
- For the purposes of evaluation of Bids, sums in Euros will be translated into the sums in AZN at the rates of the CBA as at the Bid Closing date.
2. Price proposal by bidders shall be inclusive of all Taxes.
3. The RFPD includes following documents but not limited to:
- Instructions to Bidders
- Conditions of Contract
- Bidding Forms
- Technical Documents
*Note: RFPD including above documents will be issued to the qualified Bidders only.
4. Language of Proposal: Qualification Documents can be submitted in Azerbaijani or English. All other documents both in relation to RFP, and the Contract when placed, shall be in Azerbaijani and English. The proposal prepared by the Bidder, as well as all documents concerning the RFP shall be submitted in English with a translation of the same in Azerbaijani. If the conflict arises between the documents, the English language for international companies and the Azerbaijani for local companies will be considered superior. Official documents shall be presented in Azerbaijani version in notary verified and apostilled form.
5. The Central Bank of the Republic of Azerbaijan requires that the Bidders and Contractors observe the highest standard of ethics during the procurement and execution of such contracts.
6. The Proposals shall be valid for a period of 90 banking days (Bid Validity Period) after the Bid Closing Date. No bid submitted after Bid Closing Date will be accepted and shall be returned unopen. All bids must be accompanied by a Bid Bond of amount equivalent to 1 (One) percent of the bid price with its expiry date not earlier than the Thirty Days (30 Days) after the Bid Validity Period.
7. The Central Bank of the Republic of Azerbaijan (The Employer) shall not be responsible for any costs or expenses incurred by Bidders in connection with the preparation and/or delivery of bids.
8. All bidders who receive RFPD should return all of them at the end of tender or destroy them if the same is issued in electronic form.
9. All bidders are expected to examine all instructions, forms, terms and specifications of the included in the RFPD. Failure to furnish all information required by the RFPD or submission of a bid not substantially responsive to the RFPD in every respect shall be at the Bidder's risk and may result in the rejection of the bid.
10. The CBA will evaluate and compare the bids until the contract award date considering the Scoring Evaluation and final negotiations. The CBA shall not be held obliged to award the contract to a lowest price bid and to award a contract to any bid. The contract will be awarded to a bidder made most attractive, optimal bid both in terms of price and technical requirements based on scoring table and final negotiations.
11. Bids will be evaluated based on the quantifiable criteria specified in the RFPD and above stated “Selection of the Successful Bidder”. Such criteria shall generally include competency of bidders, suggested time-frame for the completion of construction, functional peculiarities of the works to be described by the bidders in their bid, including, but not limited to the level of satisfaction of the employer requirements, method statement, organization of construction works etc., warranty terms for the works and any other conditions negotiated in final meeting.
12. Prices quoted in Euros will be converted to Azeri Manats for the evaluation purposes at the rate defined by the Central Bank of Azerbaijan as at the date of bid closing.
13. CBA reserve the right to require from the winning bidder to additionally provide proof of its compliance with the Qualification Requirements, failing which will result in disqualification of the bid with the enforcement of the bid bond.

Dear Sirs,
1. You are contemplating a project relating to Detailed Design and Construction Works for
a new Headquarters of the Central Bank of Azerbaijan to be constructed in Baku, the
Republic of Azerbaijan (the “Project”) and it is planned to invite bids by way of an RFP
procedure for the implementation of the Project.
In response to your request of expression of interest in participation in the above mentioned
tender (the RFP Procedure or Tender) we have expressed/express our interest in
participation in the RFP Procedure. We understand that the RFP documentation to be
distributed to the RFP participants will include documentation containing confidential and
sensitive information (Documents) which may be furnished to us, in case we qualify to
participate, subject to our issuing a confidentiality undertaking in your favour.
2. In consideration of your providing us with the Documents, we hereby agree to treat as
confidential:
•all information contained in the Documents and
•all oral information related to the same subject matter,
whether or not such Documents or oral information are stated to be "confidential"
when disclosed and whether or not are confirmed in writing.
We shall not use such information for any purposes whatsoever other than for the
purpose of preparation of our bid and shall not disclose such information to any person
(other than, on a confidential basis, to our directors, officers, employees, consultants)
without your prior consent.
3. The foregoing confidentiality undertaking shall not apply to any information:
•which is now or hereafter publicly available, or
•which we already have, or
•which we obtain from sources which to our knowledge have not entered into a
confidentiality agreement with you concerning such information, or
•which it is necessary to disclose for the purpose of meeting any legal or regulatory
requirement.
We, however, undertake to notify you 2 weeks prior to any disclosure which may be
required of us pursuant to Clause 3 above.
4. If the Project does not proceed or if we decide not to participate in the RFP Procedure,
we shall, promptly return to you or destroy all confidential information previously
received from you.
5. This letter of undertaking shall be governed and construed in accordance with the laws
of Azerbaijan and we submit to the exclusive jurisdiction of the courts of the Republic
of Azerbaijan in connection with any dispute arising out of it.
6. This letter shall constitute valid agreement and an obligation legally enforceable against
us from the moment we provide it to you.
This undertaking is given on condition that information provided by us to CBA shall also
be treated as strictly confidential on reciprocal basis subject to conditions described
hereinabove.
This undertaking shall enter into force and be valid from the date of issuance throughout the
term indicated in Item 6 above and shall be deemed to have been accepted by you without
any express indication of such acceptance from your side and your acceptance shall be
implied by your provision to us of the Documents.
